A definitive agreement has been reached by Janus Henderson Group, a global active asset manager, to purchase a majority interest in Victory Park Capital Advisors, a global private credit manager with almost 20 years of experience in offering specialised private credit solutions to both established and emerging companies.

By enhancing Janus Henderson’s already strong securitised credit portfolio and knowledge of public asset-backed securitised markets, VPC helps the company better serve its clients in the private markets.

Established in 2007 by Richard Levy and Brendan Carroll, VPC is a Chicago-based investment firm that serves a loyal clientele of institutional investors by making investments in a variety of sectors, regions, and asset classes.

Since 2010, VPC has focused on asset-backed lending, encompassing credit for real estate, financial and tangible assets, small businesses, and consumers. Legal finance, unique investment sourcing and management for insurance companies, and other investment-related services are included in its array of capabilities.

Furthermore, the company provides capital markets solutions and full structured financing through Triumph Capital Markets, one of its affiliate platforms. Approximately $6.0bn in assets are under control at VPC, which has made over 220 investments totalling roughly $10.3bn since its founding.

Janus Henderson plans to expand its securitised assets under management with VPC, building on its $36.3bn global portfolio, including innovative products like JAAA, JBBB, JSI, and JMBS.

The partnership will expand VPC’s product offerings for insurance companies and support global distribution.

Ardea Partners acted as VPC’s sole financial adviser, and Kirkland & Ellis LLP served as VPC’s legal representation, while Sheppard Mullin did likewise for Janus Henderson.

Moreover, Janus Henderson has acquired NBK Capital Partners, an emerging markets private investing team from the National Bank of Kuwait, marking a significant step forward in its client-led expansion.

Ali Dibadj, chief executive officer of Janus Henderson stated: “As we continue to execute on our client-led strategic vision, we are pleased to expand Janus Henderson’s private credit capabilities further with Victory Park Capital. Asset-backed lending has emerged as a significant market opportunity within private credit, as clients increasingly look to diversify their private credit exposure beyond only direct lending. VPC’s investment capabilities in private credit and deep expertise in insurance align with the growing needs of our clients, further our strategic objective to diversify where we have the right, and amplify our existing strengths in securitised finance. We believe this acquisition will enable us to continue to deliver for our clients, employees, and shareholders.”

Richard Levy, chief executive officer, chief investment officer, and founder of VPC added: “We are excited to partner with Janus Henderson in VPC’s next phase of growth. This partnership is a testament to the strength of our established brand in private credit and differentiated expertise, and we believe it will enable us to scale faster, diversify our product offering, expand our distribution and geographic reach, and bolster our proprietary origination channels.”
